The Corporations Act sets out the legal obligations of corporate executives under Australian law. Where executives are found to have acted recklessly or dishonestly and failed to exercise their powers appropriately, or failed to exercise their powers and discharge their duties in good faith and in the best interests of the corporation or for a proper purpose, their conduct may constitute a criminal offence. There is no statute of limitations for criminal offences.
